SD40-2 is the model designation applied by EMD to it’s successor to the SD40. SD40-3 is an informal model designation applied to rebuilt 3000 hp six-axle EMD’s. In this case they are ex-CN SD40’s rebuilt by Alsthom. The “-3” indicates some sort of enhancement over the original, probably an improved wheel-slip control system and/or a microprocessor-controlled electrical system.

Well I cought a close sister of 5947, 5940, Here in the yard at Wausau.
Here’s the story for 5943 (which I think is the same for the other 5940 series locos). It was originally an SD40 owned by CN and numbered 5102. It was rebuilt to an SD40-3 by Alstom, and sold to KCS (hence the grey with the yellow nose stripes and the pinstriped corner handrails). CN later leased the unit back and lettered it for GTW.
Oh, and if you get a good shot of at least 5943, you can see that the side panels where the KCS logo was and where the side cab numbers were have been painted in a slightly off-tone grey.
I took these April 2005.It was parked at Falls jct(Glenwillow) Ohio.I think it was being leased by WLE RR
